1. Acceptance of Terms
CovenantFlow is a product of Elenta Technology Inc. By accessing or using CovenantFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization (such as a church), you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.
2. Service Description
CovenantFlow is a Software as a Service (SaaS) platform designed for churches and religious organizations that:
- Transforms sermon content into age-appropriate ministry materials using artificial intelligence
- Generates children's ministry content, youth materials, and adult study guides
- Provides content management and distribution tools
- Offers collaboration features for ministry teams
- Stores and organizes sermon archives and generated content
The Service utilizes Amazon Bedrock AI technology to analyze and transform content while maintaining theological integrity and age-appropriateness.
3. Account Registration
To use CovenantFlow, you must create an account and provide accurate, complete information. You agree to:
- Provide truthful and accurate registration information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Notify us immediately of any unauthorized account access
- Be responsible for all activities under your account
- Not share your account credentials with others
4. User Responsibilities
As a user of CovenantFlow, you are responsible for:
Content Accuracy
Ensuring that sermon content you upload is accurate and that you have the right to use and process it.
Content Review
Reviewing all AI-generated content before use in ministry settings. You acknowledge that AI-generated content requires human review for theological accuracy and appropriateness.
Compliance
Complying with all applicable laws, regulations, and third-party rights when using the Service.
Team Management
Managing user access within your organization and ensuring team members understand and comply with these Terms.
5. Content Ownership and Licensing
Your Content
You retain all ownership rights to the content you upload to CovenantFlow, including sermon manuscripts, audio files, video recordings, and related materials ("Your Content").
License Grant to CovenantFlow
By uploading Your Content, you grant CovenantFlow a non-exclusive, worldwide, royalty-free license to:
- Store and process Your Content to provide the Service
- Send Your Content to AI services for content generation
- Create derivative works (the AI-generated content)
- Display Your Content back to you and authorized users in your organization
This license is limited to operating and improving the Service and terminates when you delete Your Content or close your account.
AI-Generated Content Ownership
Content generated by our AI from Your Content belongs to you. You may use, modify, and distribute AI-generated content as you see fit, subject to the disclaimers in Section 6.
6. AI-Generated Content
You acknowledge and agree that:
- Review Required: All AI-generated content must be reviewed by qualified personnel before use. AI may produce inaccurate, incomplete, or theologically incorrect content.
- No Guarantee of Accuracy: We do not guarantee the theological accuracy, age-appropriateness, or suitability of AI-generated content for any specific purpose.
- Your Responsibility: You are solely responsible for the final content used in your ministry settings.
- Safeguards: While we implement content safety guardrails, no system is perfect. Inappropriate content may occasionally be generated.
- No Endorsement: AI-generated content does not represent the views or endorsements of CovenantFlow.
7. Acceptable Use Policy
You agree not to use CovenantFlow to:
- Upload content that infringes on intellectual property rights
- Generate or distribute harmful, hateful, or discriminatory content
- Attempt to circumvent AI safety guardrails
- Use the Service for commercial purposes unrelated to church ministry
- Share access with unauthorized users or organizations
- Reverse engineer, decompile, or attempt to extract source code
- Interfere with or disrupt the Service or servers
- Violate any applicable laws or regulations
- Impersonate another person or organization
Violation of this policy may result in immediate account termination.
8. Subscription and Payment
Subscription Plans
CovenantFlow offers various subscription plans with different features and usage limits. Current pricing is available on our website.
Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We may change pricing with 30 days notice
- Failed payments may result in service suspension
Free Trials
We may offer free trials. At the end of a trial period, you will be charged unless you cancel before the trial ends.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency maintenance or security updates
- Factors beyond our reasonable control
- Third-party service outages (AWS, payment processors, etc.)
We do not guarantee any specific uptime percentage or that the Service will meet your specific requirements.
10. Termination
Termination by You
You may terminate your account at any time by contacting support or using account settings.
Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- You fail to pay subscription fees
- We are required to do so by law
- We discontinue the Service
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days to allow export, after which it will be deleted according to our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
- THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE THEOLOGICALLY ACCURATE, AGE-APPROPRIATE, OR SUITABLE FOR YOUR SPECIFIC MINISTRY NEEDS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVENANTFLOW SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, OR GOODWILL
- DAMAGES RESULTING FROM AI-GENERATED CONTENT
- DAMAGES EXCEEDING THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify and hold harmless CovenantFlow, its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your Content or use of AI-generated content
- Your violation of these Terms
- Your violation of any third-party rights
14. Dispute Resolution
Informal Resolution
Before filing a formal dispute, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.
Class Action Waiver
You agree to resolve disputes only on an individual basis and waive any right to participate in class actions.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law provisions.
15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CovenantFlow.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
No Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
Assignment
You may not assign these Terms without our consent. We may assign these Terms to any successor in interest.
